Incoterms for Apparel Buyers: EXW, FCA, FOB, CFR, CIF, DAP and DDP
Incoterms tell an apparel buyer three things: who arranges transport, who pays for each leg and where risk passes. EXW and FCA hand the goods over near the factory, FOB, CFR and CIF are sea freight terms, and DAP or DDP deliver into the buyer's country.
Getting the term wrong is expensive in two ways. It creates a gap in the contract about who carries a loss, and it makes two quotations look comparable when they are not. Both problems show up in ordinary garment orders, not only in complicated ones.
Incoterms are revised periodically and more than one edition is in active use, so the contract must name the edition it applies. Nothing here is the law of any country; these are contractual rules that bind because the parties chose them.
What Do Incoterms Actually Decide in a Garment Order?
Incoterms are standard three letter trade terms published by the International Chamber of Commerce. In a garment order they settle three questions, and only those three. Who arranges carriage, who pays for which leg and which charges, and at which physical point risk for the goods passes from the seller to the buyer.
They do not settle when title passes, payment terms, or what happens if the goods fail inspection. Those belong in the purchase order and the sales contract.
Two quotes for the same shirt at the same unit price are not the same offer if one is ex works and the other delivered to your warehouse. The difference sits in freight, insurance, customs formalities and handling.
Which Incoterms Do Apparel Buyers Meet Most Often?
Seven terms cover almost everything a clothing importer will see. The first three place the goods with the buyer early in the journey, the middle two are written for sea transport, and the last two carry the goods all the way to the buyer's country.
- EXW (ex works). The buyer collects from the supplier's premises and carries cost and risk from that moment, including export formalities.
- FCA (free carrier). The seller hands the goods to a carrier the buyer nominated, at a named place, and clears them for export.
- FOB (free on board). The seller places the goods on board a vessel at a named port of shipment.
- CFR (cost and freight). The seller pays sea freight to the named destination port, but risk passes on board at origin.
- CIF (cost, insurance and freight). As CFR, with the seller also buying a minimum level of cargo insurance.
- DAP (delivered at place). The seller delivers to a named place in the buyer's country, ready for unloading, with import clearance and duties on the buyer.
- DDP (delivered duty paid). The seller delivers to the named place and also handles import clearance and duties.
Notice the pattern. Moving down the list shifts work and cost from the buyer to the seller. That is why a DDP price always looks higher than an EXW price for the same garment. It is not a worse price, it is a different scope.
Why Is FOB the Wrong Term for a Truck Shipment From Turkey?
This is the most common Incoterms error in Turkish apparel sourcing, and it appears on a large share of first proformas. FOB, CFR and CIF were written for goods carried on a vessel. The risk transfer point is the ship's rail at the port of loading. If your order is leaving Istanbul or Izmir on a truck bound for Germany, Poland or the Netherlands, there is no vessel and no port of loading.
Quoting FOB on a road shipment leaves risk transfer undefined, which is the one thing the term was supposed to fix. If the trailer is damaged in transit, the parties are arguing about a point the contract never identified.
For road freight the correct term is usually FCA at a named place, for example FCA the supplier's warehouse or FCA a named consolidation point in Istanbul. FCA works for any mode of transport, states the handover place precisely, and puts export clearance on the seller. If a supplier sends you a road quotation marked FOB, ask them to restate it as FCA with the place named. This is not pedantry, it is the difference between a term that works and a habit copied from an older sea freight template.
How Do EXW and FCA Differ in Practice?
They look similar because both hand the goods over near the factory, but the difference matters to an importer. Under EXW the buyer is in principle responsible for loading and for export formalities in the seller's country, which is awkward for a foreign buyer with no legal presence in Turkey.
Under FCA the seller clears the goods for export and, when the named place is the seller's premises, loads them onto the collecting vehicle. For most international buyers that is a cleaner arrangement, because the party that can actually complete Turkish export paperwork is the party doing it.
When Does DAP or DDP Make Sense for a Brand?
Delivered terms suit buyers who want a landed number and do not want to manage freight. A small e commerce brand receiving a few pallets a season often prefers DAP because the supplier organises the truck and the buyer handles only import clearance at the other end.
DDP goes one step further and puts import clearance and duties on the supplier. It produces the simplest possible number for the buyer, and it is the term where the most goes wrong. The supplier has to be able to act as importer of record in a country where it has no establishment, and any duty or tax the supplier cannot recover is priced into your garment whether you see it or not.
Trade between Turkey and the European Union runs under the EU Turkey Customs Union for most industrial goods, which changes the duty picture compared with sourcing from Asia. The detail depends on the product, the documentation and current rules, so confirm the position for your specific goods with your customs broker or the relevant authority before you build a landed cost model on it.
How Do I Compare Two Quotes Written on Different Terms?
Convert both to the same point before you compare anything. The only meaningful comparison is landed cost per unit at your warehouse door, including duty and tax where they apply to you. Comparing an FCA Istanbul price against a DAP Rotterdam price and concluding that one supplier is dearer is a mistake that gets made every season.
Build the bridge line by line rather than guessing a percentage.
- Unit price on the quoted term, multiplied by the order quantity.
- Inland carriage in Turkey, if not already included.
- Export formalities and documentation at origin.
- Main carriage, road or sea, plus any fuel and surcharge elements.
- Cargo insurance, and whether the level provided is the minimum or something you would actually rely on.
- Destination terminal or unloading charges, import clearance, duty and tax.
- Delivery to your warehouse and any pallet or handling fees.
Two things distort the comparison. Freight per unit falls sharply as the shipment fills the trailer, so a low unit price on a half empty load can cost more per piece. And a supplier who includes freight is carrying freight market risk for you.
Which Incoterms Version Should the Contract Name?
The rules are revised periodically by the International Chamber of Commerce, and successive editions differ in meaningful ways, including how some terms treat insurance levels and delivery points. Because more than one edition remains in circulation and in use in live contracts, the safe practice is for the contract to name the edition it relies on.
So do not write DAP Rotterdam on its own. Write the term, the named place and the edition the parties are applying, in the same wording on both the purchase order and the proforma invoice. If the supplier names one edition and you name another, fix it before the deposit is paid.
No edition is the current law. These are contractual rules that apply because the parties chose them, which is precisely why naming the version is the buyer's job and not an administrative detail.
Should the Buyer or the Supplier Arrange the Freight?
There is no single right answer, and the honest test is who has better information and better rates on that lane. A buyer shipping regularly into one European country usually has stronger rates and more control by nominating their own carrier under FCA. A buyer shipping four pallets twice a year usually does better letting the supplier consolidate.
The second consideration is visibility. When the supplier controls the freight, the buyer finds out about a delay when the goods do not arrive. When the buyer controls it, the buyer books the collection and knows the ex factory date in advance, which makes it much harder for a slipping production schedule to stay hidden.
